Hợp đồng dịch vụ được lập giữa bên phân phối dịch vụ và bên sử dụng dịch vụ. Đây là loại hợp đồng song vụ, những quyền lợi và nghĩa vụ của bên này được bảo vệ bằng việc thực thi nghĩa vụ và trách nhiệm của bên kia. Trong đó, bên A thường được quy ước là bên phân phối dịch vụ, còn bên B là bên sử dụng dịch vụ. Tùy thuộc nhu yếu mà những bên hoàn toàn có thể xác lập hợp đồng bằng tiếng Anh hoặc hợp đồng song ngữ. Article 3. Rights and obligations of Party A :
3.1. Party A has the rights to : Request Party B to perform the agreed legal services with enthusiasm, responsibility and ensure the legitimate interests of Party A ; Unilaterally terminate the contract if it considers that the performance of the work does not bring benefits to Party A. However, Party A must notify Party B in writing 15 days in advance and must pay Party B the remuneration and expenses agreed in Article 2 of this Contract. Unilaterally terminate the contract and request Party B to compensate for the actual damage if Party B seriously violates the agreed obligations .

3.2. Party A is obliged to : Ensure that information and documents provided by Party A to Party B are true ; Promptly provide necessary information, documents and means for Party B to perform the work. Pay remuneration and expenses to Party B as agreed in Article 2 of this Contract. Pay remuneration and expenses which are agreed in Article 2 of this Contract and compensate for any actual damage to Party B if Party A unilaterally terminates the contract illegally.
Article 4. Rights and obligations of Party B :
4.1. Rights of Party B : Request Party A to provide necessary information, documents, evidence and means to perform the job .

Request Party A to pay agreed remuneration and expenses. Request Party A to pay remuneration, expenses and compensate for actual damage caused to Party B if Party A unilaterally terminates the contract illegally. 4.2. Obligations of Party B : Perform the agreed work with enthusiasm and responsibility to ensure the legitimate rights of Party A. Not to assign other organizations or individuals to perform the work without Party A. ’ s written consent. Promptly notify Party A of all matters related to the job performance. This announcement is done by phone or direct speech. The notice in writing, fax, email from the email address of Party B to Party A is only made if Party A requests in writing, fax or email from the fax machine number, email address that Party A provides to Party B in this contract. Keep secret of information, documents, evidence or events related to Party A that Party B knows during the performance of the work. Such information, documents, evidences and events may only be published with the consent in writing, fax or email from the valid fax numbers, email addresses of Party A. To compensate Party A for damage if the documents are lost or damaged or information is disclosed contrary to the agreement .

6.1. The two parties undertake to comply with the agreements in the contract, the terms which are not in the contract are complied with the laws referenced in this Contract and the guiding documents of those laws. 6.2. If a dispute arises in the contract, the parties will negotiate. If there is no agreement, one of the parties has the right to initiate a lawsuit in accordance with the law. 6.3. Điều 3/Article 3: Trách nhiệm mỗi bên/ Responsibility for each side
Quyền và trách nhiệm bên A (Rights and responsibilities of parties A):
Quyền được nhu yếu bên B phân phối vừa đủ, đúng chuẩn và hợp pháp những chứng từ và số liệu kế toán / Require Party B to provide complete, accurate and legal documents and accounting data Không chịu nghĩa vụ và trách nhiệm so với những hóa đơn, chứng từ và những số liệu kế toán được phân phối không khá đầy đủ và không đúng chuẩn, hợp pháp bởi bên B / Not responsible for the bills, documents and accounting data provided incomplete and inaccurate, legitimate by party BQuyền được hưởng phí dịch vụ được lao lý trong hợp đồng này / The right to entitle service charges specified in this contract Có nghĩa vụ và trách nhiệm giữ bí hiểm tuyệt đối những số liệu hay thông tin của bên B / Responsible to keep absolute secrecy or information data of party B Có nghĩa vụ và trách nhiệm lập và nộp vừa đủ những báo cáo giải trình thuế đúng ngày theo lao lý của cơ quan quản trị thuế. Thực hiện tráng lệ và rất đầy đủ sổ sách kế toán. Nếu phát sinh phạt vi phạm hành chính về việc chậm trễ và sai sót những tờ khai thì bên A phải chịu trọn vẹn nghĩa vụ và trách nhiệm / Responsible for preparing and submiting tax report on the day prescribed by the tax authorities. Quyền được nhu yếu bên A triển khai rất đầy đủ những báo cáo giải trình thuế, kế toán trên cơ sở chứng từ và số liệu do mình cung ứng / Require party A do full implementation of tax reporting and accounting base on documents and data provided by them Quyền được nhu yếu bên A lý giải số liệu chi tiết cụ thể tương quan đến hoạt động giải trí kế toán phát sinh trong quy trình thực thi dịch vụ trên cở sở lao lý và pháp luật đơn cử / Repuire party A explain the data related to accounting activities arising during the implementation on the basis of the law and specific regulations Chịu nghĩa vụ và trách nhiệm về tính vừa đủ, đúng chuẩn và hợp pháp những chứng từ và số liệu kế toán khi cung ứng cho bên A / Responsible for the completeness, accuracy and legitimacy of documents and accounting data as supplied to party A. Thanh toán phí dịch vụ đúng thời hạn được pháp luật trong điều 2 của hợp đồng này / Pay service charges on time that specified in Article 2 of this contract.
Điều 4/Article 4: Điều khoản chung (Other terms)
Trong quy trình thực thi hợp đồng nếu có phát sinh những yếu tố khác thì hai bên cùng luận bàn và thống nhất trên ý thức hợp tác lẫn nhau / In the course of implementing the contract if other problems arise, two parties will discuss and agree on the spirit of mutual cooperation. Hai bên có quyền chấm hết hợp đồng khi nhận thấy không còn tương thích và thiết yếu, trước khi chấm hết hợp đồng phải báo trước cho bên kia biết bằng văn bản tối thiểu 30 ngày / Two parties have the right to terminate the agreement if founded not suitable and necessary, notify the other party in writing at least 30 days before the termination of the contract Hợp đồng này được lập thành 02 ( hai ) bản có giá trị pháp lý như nhau và có hiệu lực thực thi hiện hành kể từ ngày ký / This contract is made in 02 ( two ) copies with the same legal value and is valid from the date of signing .
